THE ROLE
We are looking for a home-based/remote freelance/self-employed CORPORATE LAWYER/ LEGAL MANAGER in the Philippines able to think out of the box to remotely assist the COO in London, lead the legal team and become a team player working in co-ordination with the leadership team of the A.C.T. group. The individual will need to be committed full time Monday to Friday, 9am to 5:30pm (UK time).
COMMERCIAL CONTRACTS / CORPORATE LAWYER
The position, which reports to the COO, offers an exciting opportunity to build a professional career in a unique, dynamic and successful environment.
The key objectives of the role are:
· Draft, review in redline and negotiate different types of contracts across various sectors and in complex cross border scenarios. This will cover the fields of corporate and commercial practice, general counsel, finance, investments, real estate and property management, music & entertainment, IP and trademarks, litigation/claims cases (commercial, civil, criminal and administrative), employment, immigration and taxation.
· Handle special projects and deals, complex transactions, litigation cases/claims, mergers and acquisitions transactions, corporate and financial restructuring, legal and corporate due diligence, asset share purchase agreements, JV agreements, intellectual property matters, employment, immigration, taxation, company establishment and corporate restructuring (local and offshore) and the like.
· Drafting contracts for specific transactions for which no templates may exist
· Conduct contract analysis and provide ongoing risk analysis for COO in connection with a variety of matters
· Assisting COO and client facing staff in contract negotiations
· Provide legal advice to COO on various fields of law (with main focus on corporate and commercial laws), and involves the preparation of legal opinions, memorandum, corporate presentations, position papers and feasibility studies; research of the laws applicable to the companies; preparation of requirements and processing of license and permit applications, both UK and offshore.
· Comparing contracts and highlighting differences and similarities in memorandum format for COO
· Perform other cross functions in corporate housekeeping, and other support and administrative services
· Liaising and coordinate with external counsel on legal matters.
· Providing support on legal matters involving foreign jurisdictions; international experience is advantageous.
· Gain wide understanding of UK and international regulatory frameworks
· Assist in the WIP and Billing process
knowledge, skills & qualifications
· A minimum of 5 years experience working in a top 5 legal firm essential
· Certified passer of the Philippine bar.
· Must possess at least a Bachelor’s/College Degree, Post Graduate/Diploma/Master’s Degree, Law, Commerce or equivalent
· Graduate of Law/Finance/B.S. Accountancy or Equivalent, Preferably CPA
· Excellent verbal and written communication skills, with fluency in English
· Fluency (native language) in a European language Spanish, Italian or French desired
· Excellent attention to detail and ability to work under pressure on multiple projects to meet deadlines
· Excellent level of the full Microsoft Office Suite including Teams, DocuSign, Adobe
